Per Article IV of the Gage Area Growth Enterprise (NGage) By-Laws:
SECTION 1. General Powers. The affairs of the corporation shall be managed by its Board of Directors. Directors may be any level of membership of the Corporation, and a director need not be a member of the Corporation.
SECTION 2. Qualification, Number and Tenure. The number of directors shall be ten (10) who may serve successive terms. There shall be two (2) classes of directors:
Automatic Directors. There shall be two automatic directors: One (1) appointed by the Beatrice City Council, and (1) appointed by the Gage County Board of Supervisors, who shall hold office until the directors’ successors have been appointed by their respective governing body. Neither of the automatic directors shall be elected or serve in the capacity as an officer of the Corporation.
Elected Directors. The elected directors shall consist of four (4) individuals who reside within the corporate limits of the City of Beatrice, Nebraska, and four (4) individuals who reside outside of the corporate limits of the City of Beatrice, Nebraska, but within the boundaries of Gage County, Nebraska, except as provided in subsections B.1 and B.2 herein below: .
One elected director may reside outside of Gage County, but owns a business, or works at a business within the corporate limits of the City of Beatrice, Nebraska. If an individual is elected as a director under this subsection, he or she shall be counted as an individual residing within the corporate limits of the City of Beatrice, Nebraska.
One elected director may reside outside of Gage County, but owns a business, or works at a business outside the corporate limits of the City of Beatrice, but within the boundaries of Gage County, Nebraska. If an individual is elected as a director under this subsection, he or she shall be counted as an individual residing outside the corporate limits of the City of Beatrice, Nebraska, but within the boundaries of Gage County, Nebraska.
